Agreement to these Terms

These Terms of Service ("Terms") are a binding agreement between you and MBD Mind ("we," "us," or "our") governing access to and use of:

• the MBD Mind desktop application;
• the MBD Mind website and web portal (including account, billing, and admin features); and
• any documentation, updates, and support we provide for the foregoing (collectively, the "Service").

By creating an account, downloading the desktop app, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes that organization.

Eligibility and accounts

You must be at least 18 years old (or the age of majority in your jurisdiction) and able to form a binding contract.

When you register, you agree to:

• provide accurate and current account information;
• keep your credentials and devices secure; and
• promptly notify us at info@mbdmind.com if you suspect unauthorized access.

You are responsible for activity under your account unless caused by our failure to maintain reasonable security.

We may suspend or terminate accounts that violate these Terms, pose security risk, or remain inactive for an extended period after notice where required by law.

Description of the Service

MBD Mind provides AI-assisted tools for Model-Based Development, including agent conversations, MATLAB and Simulink integration via MCP (Model Context Protocol), local and cloud large-language-model connectivity, usage reporting, and optional organization administration.

Features vary by plan. The Service may change over time as we improve reliability, security, and functionality. We do not guarantee uninterrupted or error-free operation.

Plans, billing, and payment

Free tier

The Free tier includes a single-user account, local model support (for example via Ollama), starter Hozaifa credits, and community support. Cloud provider access and bring-your-own-key (BYOK) configuration require a paid plan unless we state otherwise.

Pro subscription

Pro is a recurring subscription (currently $20 per month per user, subject to change with notice) that includes cloud model access, monthly Hozaifa credits, and email support. Pro and other paid features are processed through Stripe. By subscribing, you authorize us and Stripe to charge your payment method on a recurring basis until you cancel.

Team and Enterprise

Team and Enterprise plans are provisioned under separate quotes or order forms. Pricing, seat counts, credit pools, deployment options, and support commitments are defined in your agreement with us. If an order form conflicts with these Terms on a Team or Enterprise matter, the order form controls for that matter.

Hozaifa credits and top-ups

Certain plans include Hozaifa credits (shown in USD) for cloud inference usage. Eligible plans may purchase top-up packs. Credits are consumed according to usage metering in the Service. Credits have no cash value, are non-transferable except as we expressly allow, and may expire or be adjusted as described in-product or in your plan terms.

Taxes and price changes

Prices exclude applicable taxes unless stated otherwise. We may change published prices with reasonable advance notice; changes apply to the next billing cycle after notice unless a separate agreement applies.

Subscriptions, renewal, and cancellation

Pro subscriptions renew automatically each billing period until canceled.

You may cancel through the Stripe Customer Portal (available from Dashboard → Billing when signed in) or by contacting info@mbdmind.com. Cancellation typically takes effect at the end of the current paid period unless we state otherwise or applicable law requires immediate effect.

After cancellation, paid features may revert to Free-tier capabilities when your subscription period ends. You remain responsible for charges incurred before cancellation.

Refunds

Except where required by law or explicitly stated in writing, fees are non-refundable, including for partial billing periods, unused Hozaifa credits, or accounts terminated for violation of these Terms.

If you believe you were charged in error, contact info@mbdmind.com within 30 days of the charge. We will review good-faith billing disputes.

Acceptable use

You agree not to:

• use the Service in violation of law or third-party rights;
• attempt to probe, scan, or test the vulnerability of our systems without authorization;
• interfere with or disrupt the Service or other users;
• reverse engineer, decompile, or attempt to extract source code except where permitted by law;
• resell, sublicense, or provide the Service to third parties except under an authorized Team or Enterprise agreement;
• use the Service to develop competing products by systematically extracting training data or proprietary prompts; or
• process classified, export-controlled, or other regulated data without appropriate authorization and contractual arrangements.

Do not use MBD Mind to process classified or export-controlled data without appropriate authorization.

You are solely responsible for compliance with your employer's policies, MATLAB and MathWorks license terms, and any obligations relating to models, data, and deliverables you work on with the Service.

AI outputs and engineering responsibility

The Service uses probabilistic AI models. Outputs may be incomplete, inaccurate, or unsuitable for your use case.

You must review all AI-generated suggestions before relying on them, especially in safety-critical, regulated, or production systems. MBD Mind does not replace professional engineering judgment, verification, simulation, or test.

We do not warrant that agent actions on Simulink or MATLAB models will preserve model integrity, meet standards, or satisfy certification requirements.

Third-party services

The Service integrates with third parties you choose to enable, including:

• MathWorks MATLAB / Simulink and related toolkits (subject to your MathWorks licenses);
• cloud LLM providers (OpenAI, Anthropic, Google, and others) when you configure API keys or use hosted inference;
• Google OAuth for sign-in when enabled; and
• Stripe for payments and subscription management.

Your use of third-party services is governed by their terms and privacy policies. We are not responsible for third-party outages, pricing, data handling, or license compliance.

Your content and intellectual property

You retain ownership of models, files, prompts, and other materials you submit through the Service ("Your Content"), subject to rights needed for us to operate the Service (for example, to process prompts, sync sessions when configured, and provide support).

We and our licensors own the Service, software, branding, documentation, and all related intellectual property. These Terms grant you a limited, non-exclusive, non-transferable, revocable license to use the Service during your subscription or Free-tier access, subject to these Terms.

Feedback you provide may be used by us without restriction or compensation.

Privacy and data handling

Our Privacy Policy describes how we collect, use, and retain account, usage, and agent session data.

By default, agent work is oriented around desktop-local processing; cloud providers receive prompts only when you configure and use cloud models. Organizational sync and retention settings may apply when enabled.

Software updates

Desktop updates may be delivered automatically via secure update feeds. You may disable automatic updates in desktop Settings. Updates may be required for security or compatibility. Continued use after an update constitutes acceptance of the updated software behavior, subject to these Terms.

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT AI OUTPUTS WILL BE ACCURATE OR COMPLETE.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL; AND
• OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.

Indemnification

You will defend, indemnify, and hold harmless MBD Mind and its affiliates, officers, and employees from claims, damages, and expenses (including reasonable attorneys' fees) arising from Your Content, your use of the Service, or your violation of these Terms or applicable law.

Termination

You may stop using the Service at any time. We may suspend or terminate access if you materially breach these Terms, if required by law, or if we discontinue the Service with reasonable notice where practicable.

Upon termination, your license to use the Service ends. Sections that by their nature should survive (including payment obligations accrued, intellectual property, disclaimers, limitation of liability, and indemnification) will survive.

Governing law and disputes

These Terms are governed by the laws of the jurisdiction in which MBD Mind is established, without regard to conflict-of-law rules, except where mandatory consumer protections in your country of residence apply.

Before filing a formal dispute, contact info@mbdmind.com to attempt informal resolution. If we cannot resolve a dispute within 30 days, either party may pursue remedies permitted by law.

Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will post the updated Terms on this page and update the "Last updated" date. For registered users, we may also provide notice by email or in-product notification.

Continued use after the effective date of updated Terms constitutes acceptance. If you do not agree, you must stop using the Service and cancel any paid subscription.
